1. Introduction & Acceptance
1.1 Agreement.
These Terms of Service ("Terms") are a legally binding contract between NeoStats Analytics Solutions, a company based in Dubai, United Arab Emirates ("NeoStats," "we," or "us"), and you (the individual or entity using our website and services, "User"). By accessing or using NeoStats's website (currently at https://neostats.ai) or any products, analytics platforms, consulting services, or other Services we provide (collectively, the "Services"), you acknowledge that you have read and agree to these Terms. If you do not agree, you may not use the Services.
1.2 Changes to Terms.
NeoStats may modify or update these Terms at any time. We will post any revised Terms on our Site with a new effective date. Continuing to use the Services after such updates constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically for the latest information.
2. Scope of Services
2.1 Description.
NeoStats provides an AI-driven data analytics platform and data intelligence services. Our offerings include software-as-a-service (SaaS) products enabling advanced data analytics, visualization, and insights, as well as professional consulting and data intelligence solutions for businesses. These Services may encompass cloud-based analytical tools, machine learning and AI solutions, integration with third-party services (e.g., cloud hosting, CRM, analytics tools), and expert data consulting to help clients derive business insights from their data.
2.2 Service Use.
To use certain features of the Services, You may need to create an account (see Section 3) or enter into a separate subscription or service order agreement with NeoStats. Additional terms (such as a Data Processing Addendum or Service Order) may apply to specific Services or projects; where they conflict with these general Terms, those specific terms will govern for that particular service.
2.3 Eligibility.
The Services are intended for business and professional users. You must be at least 18 years old or the age of majority in your jurisdiction (whichever is higher) to register an account or use the Services. The Services are not intended for children; if you are under the age of 16, please do not use our Site or Services. If we discover that a minor has provided us with personal data without appropriate consent, we will remove such data (see our Privacy Policy below for more details).
3. User Accounts & Security
3.1 Account Creation.
When creating an account on our platform, you agree to provide accurate, current, and complete information. You must promptly update this information if it changes. You are responsible for maintaining the confidentiality of your password and account credentials, and for all activities under your account. If you suspect unauthorized access to your account, notify us immediately.
3.2 Account Responsibilities.
You are fully responsible for all use of your account and any actions taken through it. NeoStats is not liable for any losses you incur due to unauthorized use of your account, but you may be held responsible for losses incurred by NeoStats or others due to such unauthorized use. Use caution when sharing personal credentials and implement best practices (such as strong passwords or two-factor authentication) to protect your account.
4. Permitted Use & Prohibited Activities
4.1 Licence & Permitted Use.
Subject to your compliance with these Terms, NeoStats grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for your internal business or personal purposes. All rights not expressly granted are reserved by NeoStats and its licensors.
4.2 Prohibited Activities.
You agree not to misuse our Services. In particular, you will not:
- Break the law: Engage in any activity that violates applicable laws or regulations.
- Harm or disrupt the Services: Attempt to damage, disable, or impair our Site or Services, or interfere with any other party's use of the Services (for example by hacking, introducing malware, overloading or attacking our servers).
- Gain unauthorized access: Try to access accounts, systems, or data without permission, or circumvent any authentication or security measures of the Services.
- Spam or unlawful content: Transmit any unsolicited advertising, junk mail, spam, chain letters, or any inappropriate, illegal, harassing, or obscene content through the Services.
- Infringe rights: Upload or share anything that violates or infringes the intellectual property or privacy rights of others (e.g. unauthorized copies of copyrighted content, personal data without permission).
- Reverse engineer or misuse: Copy, modify, distribute, or reverse engineer any part of the Services unless permitted by law, and do not use automated means (such as bots, scrapers) to access or extract data from the Site without our prior written consent.
We reserve the right to suspend or terminate your access if you engage in prohibited activities or violate these Terms.
5. User Content & Data
5.1 Ownership of Your Data.
You retain all rights to files, data, and content ("User Content") you upload or provide to the Services. We do not claim ownership of your User Content. By providing User Content via the Services, you grant NeoStats a worldwide, non-exclusive, royalty-free licence to use, process, transmit, and store your User Content solely to provide the Services (e.g. performing analytics on your data, generating insights at your request).
5.2 Your Responsibilities.
You are responsible for the legality and quality of your User Content. You must ensure that you have all necessary rights and permissions for any data or material you upload, including to allow NeoStats to process and use it under these Terms. You must not upload any content that violates applicable law or infringes the rights of others (for example, do not upload content that is illegal, defamatory, obscene, or that infringes someone's intellectual property or privacy).
5.3 Data Protection & Privacy.
NeoStats takes data protection seriously. If we process personal data on your behalf as part of our Services, we will do so in accordance with applicable data protection laws and our Privacy Policy (see below) and, if relevant, a separate data processing agreement. We use appropriate technical and organizational measures to secure your data (see Section 5 of our Privacy Policy for more details). You remain responsible for your obligations as a data controller (if applicable) under privacy laws; we act as your data processor/service provider for your content when delivering our Services.
6. Intellectual Property
6.1 NeoStats Intellectual Property.
The Services (including all content, software, design, and materials provided through or in relation to the Services) are the intellectual property of NeoStats or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. NeoStats™ and related logos are our trademarks. Except for the limited use rights above, you obtain no rights to our intellectual property. You agree not to remove or alter any proprietary notices in the Services.
6.2 Feedback.
Any feedback, suggestions, or ideas you provide regarding NeoStats or the Services are entirely voluntary. You agree that NeoStats may use such feedback freely and without obligation to you, and you hereby assign all right, title, and interest in any feedback to us.
7. Third-Party Services & Links
7.1 Integration with Third Parties.
Our Services may enable integration or interoperability with third-party services (for example, connecting to third-party data sources, cloud services, or payment processors). You are responsible for complying with any third-party terms when using those services through our platform. We do not guarantee the availability or continued compatibility of any third-party service with our platform.
7.2 External Links.
The Site and Services may include links to third-party websites or content. These are provided for convenience, and NeoStats is not responsible for any third-party websites or content. Inclusion of a link does not imply endorsement. Your use of third-party sites or services is at your own risk, and may be subject to the terms and policies of the respective third parties.
8. Warranties & Disclaimers
8.1 "As-Is" Provision of Services.
NeoStats provides the Services on an "AS IS" and "AS AVAILABLE" basis. While we strive for accuracy, reliability, and security, we do not warrant that the Services will be uninterrupted, error-free, or meet all your expectations.
8.2 Disclaimer of Warranties.
To the maximum extent permitted by law, NeoStats disclaims all warranties and conditions, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title. No advice or information (whether oral or written) obtained from NeoStats or through the Services creates any warranty not expressly stated in these Terms.
8.3 No Guaranteed Outcomes.
Any data insights, analyses, or recommendations provided by the Services (including our AI/analytics outputs or consulting deliverables) are for informational purposes. NeoStats does not guarantee that implementation of these insights will achieve any particular outcome or result in your business. You are solely responsible for any decisions or actions you take based on the information or analysis provided.
9. Limitation of Liability
9.1 Exclusion of Certain Damages.
To the fullest extent allowed by applicable law, NeoStats (including our directors, officers, employees, and agents) will not be liable for any indirect, special, incidental, consequential, or punitive damages arising from or related to the Services or these Terms. This includes, without limitation, damages for lost profits, lost data, business interruption, or costs of substitute services, even if we have been advised of the possibility of such damages.
9.2 Liability Cap.
In no event will NeoStats's total liability for all claims relating to the Services or these Terms exceed the amount you paid us for the specific Service in the 12 months immediately preceding the claim or USD 100 (one hundred U.S. dollars, or equivalent local currency), whichever is greater. This limitation applies regardless of the legal theory and even if a remedy fails of its essential purpose.
9.3 Consumer Law Rights.
Some jurisdictions do not allow the exclusion of certain warranties or types of damages in consumer contracts. Nothing in these Terms is intended to limit any rights you have under such laws that cannot be lawfully excluded. In such jurisdictions, NeoStats's liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold NeoStats (and our officers, directors, employees, and affiliates) harmless from any claims, losses, liabilities, and expenses (including legal fees) arising out of or related to (a) your violation of these Terms or (b) your use of the Services (including any User Content you provide and your activities on the platform). We reserve the right to assume the defence and control of any matter subject to indemnification by you, in which case you will cooperate with our defence of such claim.
11. Suspension & Termination
11.1 Your Termination.
You may stop using the Services and terminate your account at any time via your account settings or by contacting us (note that additional terms may apply to terminating a paid subscription).
11.2 Our Suspension/Termination.
NeoStats may suspend or terminate your access to the Services or your account immediately and without prior notice if you violate these Terms, if required by law, or if your use of the Services poses risk or harm to us or others. We may also terminate any free or trial accounts after a prolonged period of inactivity. We will make reasonable efforts to notify you of such suspension or termination, unless legally prohibited.
11.3 Effects of Termination.
Upon termination of your account or this Agreement, your right to use the Services ceases immediately. You may request deletion or return of your User Content as per our Privacy Policy (subject to applicable law). Sections of these Terms that by nature should survive termination (such as intellectual property, disclaimers, liability, and dispute resolution provisions) will remain in effect.
12. Governing Law & Dispute Resolution
12.1 Governing Law.
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates (UAE), specifically the laws of the Emirate of Dubai, without regard to its conflict-of-law rules. However, if you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws will apply to the extent they override these Terms.
12.2 Jurisdiction.
Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. We and you agree to submit to the personal jurisdiction of these courts for resolving any such disputes, except that nothing in these Terms limits your right to bring a dispute to the courts of your country of residence if such right is guaranteed by applicable local law.
12.3 Alternative Dispute Resolution.
If a dispute arises, we encourage you to contact us first to seek an amicable resolution. In some cases (particularly for business customers), the parties may agree in writing to resolve disputes through arbitration or mediation in Dubai, in which case specific procedures will be set out in a separate agreement.
13. Compliance & Export Control
13.1 Legal Compliance.
You agree to use the Services in compliance with all applicable export control, economic sanctions, and trade laws. For example, you must not use our Services if you are located in a country or are an individual subject to comprehensive sanctions or if such use would violate UAE or international export regulations. You also confirm that you are not on any restricted parties list of the U.S., EU, UK, or UN.
13.2 Anti-Corruption.
You agree that you will not engage in bribery or corrupt practices in connection with your use of the Services, and that you will comply with applicable anti-corruption and anti-bribery laws (such as the U.S. Foreign Corrupt Practices Act and the UK Bribery Act) in all dealings related to the Services.
14. General Provisions
14.1 Entire Agreement.
These Terms (together with any additional terms incorporated by reference, such as our Privacy Policy and Cookie Policy) constitute the entire agreement between you and NeoStats regarding the Services, and supersede any prior agreements or understandings. No oral or written information or advice given by either party will create any warranty or obligation not expressly stated in these Terms.
14.2 No Waiver.
If either party fails to enforce any provision of these Terms, it will not be considered a waiver of future enforcement of that or any other provision.
14.3 Severability.
If any part of these Terms is found to be invalid or unenforceable, the rest will remain effective, and the invalid or unenforceable part will be deemed modified to the minimum extent necessary to make it enforceable.
14.4 Relationship.
Nothing in these Terms creates any joint venture, partnership, employment, or agency relationship between you and NeoStats. Neither party has authority to bind the other in any manner.
14.5 Assignment.
You may not transfer or assign these Terms or any rights or obligations under them without our prior written consent. NeoStats may assign these Terms (in whole or part) to an affiliate or in connection with a merger, sale, or corporate reorganization.
14.6 Force Majeure.
NeoStats is not liable for any failure or delay in performance due to causes beyond our reasonable control, such as natural disasters, war, acts of government, cyber-attacks, labour disputes, internet or utility failures, or other force majeure events.
